These Terms of Service govern access to and use of Celsius Marketing Reporting (“CMIR”), operated by [full legal entity name], doing business as Celsius Marketing (“Celsius Marketing,” “we,” “us,” or “our”).
By accessing CMIR, you agree to these Terms. If you use CMIR for an organization, you represent that you are authorized to accept these Terms on its behalf.
Authorized use
CMIR is available only to Celsius Marketing personnel, clients, and other users expressly authorized by Celsius Marketing.
You may use CMIR only for legitimate business reporting related to organizations and marketing accounts you are authorized to access.
You may not:
- Attempt to access another client’s information.
- Share your account or credentials with unauthorized persons.
- Circumvent authentication or access restrictions.
- Probe, scan, disrupt, or reverse-engineer CMIR.
- Use CMIR or its data for unlawful, deceptive, or abusive purposes.
- Introduce malicious code or interfere with platform operation.
- Export or redistribute information without appropriate authorization.
- Use Google user data obtained through CMIR for advertising, surveillance, credit decisions, or unrelated profiling.
User accounts
You are responsible for safeguarding your login credentials and activity performed through your account.
You must notify Celsius Marketing promptly if you suspect that an account has been compromised. We may suspend access when necessary to protect CMIR, a client, or another user.
Connected services
CMIR may connect to third-party services such as Google Ads, Google Analytics, Meta Ads, Microsoft Advertising, TikTok, WhatsApp Business, CRM systems, and WordPress websites.
You represent that you have authority to connect each account or authorize Celsius Marketing to connect it. Your use of a connected service remains subject to that provider’s terms and policies.
Third-party services may change, restrict, suspend, or discontinue their APIs. Celsius Marketing does not control those services and cannot guarantee uninterrupted access to them.
Google API data
CMIR uses information obtained from Google APIs only to provide and improve its user-facing reporting features.
Users may revoke Google access through their Google Account settings or request disconnection by contacting Celsius Marketing. Revocation may prevent CMIR from updating reports that depend on Google data.
Data accuracy
CMIR consolidates information received from third-party systems. Reporting results may be affected by:
- Delayed or revised platform data
- Attribution-window differences
- Timezone or currency differences
- API outages and rate limits
- Incorrect account or campaign assignments
- Incomplete source-system data
- Client-provided mappings or manual inputs
CMIR is intended to support business analysis. It is not a substitute for financial, accounting, legal, or regulatory records. Users should reconcile material decisions against the authoritative source platform.
Ownership
CMIR software, design, documentation, and branding belong to Celsius Marketing or its licensors.
Each client retains its rights in data supplied by or retrieved for that client, subject to applicable agreements and third-party platform terms.
These Terms do not grant either party ownership of the other party’s trademarks, confidential information, or underlying data.
Confidentiality
Users must treat nonpublic CMIR information as confidential and may use it only for authorized business purposes.
This obligation does not apply to information that is lawfully public, independently developed without use of confidential information, or properly received from another source without a confidentiality obligation.
Availability and changes
We may update, suspend, or modify CMIR to improve security, reliability, or functionality. We may also perform maintenance that temporarily limits availability.
We will use reasonable efforts to maintain the service but do not guarantee uninterrupted or error-free operation.
Suspension and termination
We may suspend or terminate access when:
- A user violates these Terms.
- Access is no longer authorized by the applicable client.
- A connected account is disconnected.
- Continued access presents a security or legal risk.
- The related services agreement ends.
Upon termination, data will be handled according to our Privacy Policy and applicable client agreement.
Disclaimers
CMIR is provided on an “as available” basis. To the fullest extent permitted by law, Celsius Marketing disclaims implied warranties, including merchantability, fitness for a particular purpose, and noninfringement.
Nothing in CMIR constitutes legal, tax, accounting, or financial advice.
Limitation of liability
To the fullest extent permitted by applicable law, Celsius Marketing will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from CMIR.
Any additional liability limitations or contractual remedies established in a written client services agreement will also apply. If these Terms conflict with such an agreement, the written client agreement controls for that client.
Indemnification
To the extent permitted by law, you agree to indemnify and hold Celsius Marketing harmless from claims arising from your unauthorized or unlawful use of CMIR, violation of these Terms, or infringement of another party’s rights.
Governing law
These Terms are governed by the laws of the State of [state], without regard to conflict-of-law principles. Any disputes will be resolved in the courts located in [county and state], unless a written client agreement provides otherwise.
Changes to these Terms
We may update these Terms as CMIR evolves. Revised Terms will be posted with a new effective date. Continued use after an update constitutes acceptance where permitted by law.
